A. Introduction

These Terms and Conditions (“T&C”) establish the agreement between users (“You,” “Your,” “Yourself,” or “User”) and Sahasamstapaka Private Limited (“FoundrForge,” “the Platform,” “We,” “Us,” and “Our”), having its registered office at No. 11 (Old No. 76), Situated at Diagonal Road, 3rd Block, Jayanagar, Ward No. 167 (Old No. 59), Bangalore, Karnataka – 560011. By accessing or using the services provided through www.foundrforge.in or its associated mobile application (together, the “Platform”), You consent to these T&C. These Terms are considered an electronic record under the Indian Contract Act, 1872, and the Information Technology Act, 2000, along with the rules made thereunder. They are published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and its amendments. Being generated by a computer system, these Terms do not require any physical, electronic, or digital signature. Before registering or accessing any content, please carefully review these Terms and Our Privacy Policy. If you disagree with any of the terms below, kindly refrain from using the Platform.

B. Definitions

  • “Account” means the personal profile created by a User on the Platform following registration.
  • “Candidate” or “Founder” means a User seeking a co-founder through the Platform.
  • “Match” means the state arising when two Users have each expressed mutual interest in connecting through the Platform’s request-and-acceptance mechanism.
  • “Services” means the co-founder discovery, matchmaking, and in-app communication features described in Clause E.
  • “User Content” means any profile information, message, or other material a User submits to or through the Platform.
  • “Verified Founder Badge” means the badge displayed on a User’s profile upon successful LinkedIn connection, as described in Clause D.

C. Eligibility Criteria to Use

  • Age and Capacity: You must be at least 18 years old and possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
  • Individual Founders Only: The Platform is intended for individuals seeking a co-founder for a genuine startup venture. It is not intended for companies, agencies, recruiters, or any entity seeking to hire employees or contractors.
  • Jurisdictional Basis: You must be based in India, or otherwise willing to submit to Indian jurisdiction as a condition of using the Platform.
  • Platform’s Discretion: We reserve the right to refuse registration, or to suspend or terminate an existing Account, if We reasonably believe a User does not meet the above criteria or has misrepresented their eligibility.

D. Account Registration and Verification

  • Sign-in: Accounts may only be created by signing in through Google OAuth, which serves as the baseline identity signal for all Accounts. We do not, at this stage, carry out any government-ID-based verification (such as Aadhaar).
  • DPDP Consent Screen: Upon first sign-in, You will be shown a consent screen under the Digital Personal Data Protection Act, 2023, with separate, granular checkboxes covering data storage, matchmaking-only processing, Your rights as a data principal, and acceptance of these Terms. You must complete this screen before a profile can be created.
  • Profile Creation: You will then complete a profile including Your role (Technical, Business, Product, Marketing, or Finance/Fundraising), skills, city, and a short elevator pitch.
  • LinkedIn Verification: You may optionally connect Your LinkedIn account to receive a Verified Founder Badge. LinkedIn verification is optional and is not required to use the Platform; it exists solely to grant the badge.
  • Accuracy of Information: You are responsible for ensuring all information on Your profile is accurate, current, and not misleading, and for promptly updating it if it changes.

E. How the Services Work

  • Discovery: Once registered, You may browse and filter candidate profiles by role, city, skills, and response-rate visibility (Clause H). Until a mutual Match occurs, a candidate’s name and LinkedIn profile remain blurred.
  • Smart Matches: An optional, AI-assisted “Smart Matches” tab may surface ranked suggestions with a plain-language explanation of profile fit. Smart Matches reflect profile-fit suggestions only, and are not, and must not be relied upon as, verification of a candidate’s identity, character, or trustworthiness.
  • Requests and Matching: You may send a chat request to any candidate, subject to the daily limits in Clause G. If a request is mutually accepted, both Users are shown a “5 Ground Rules” consent screen (refreshed for every new Match), and chat unlocks only once both Users have checked the required boxes.
  • Scope of Services: Beyond this matchmaking and in-app communication functionality, FoundrForge does not currently provide deal-brokering, negotiation assistance, or NDA-hosting services.

F. Subscription, Fees and Payment

  • Plans: Standard plan at ₹999 per year, and a Founding Member plan at ₹499 per year, locked for life, available only to the first 100 members who subscribe. These prices are final, GST-inclusive; GST is not added separately at checkout.
  • Billing Cycle: Subscriptions are charged annually, as a one-time charge per cycle, with no auto-renewal. Access is valid for 12 months from the date of subscription. Before expiry, We will send You a manual renewal link by email; if You held a Founding Member rate, that rate will continue to apply to Your renewal.
  • Payment Processing: Payments are processed through a third-party payment gateway (Razorpay). We do not store Your card or other payment instrument details; We retain only the payment gateway’s transaction reference for Your subscription.
  • Refunds: Subscription fees are non-refundable. Because subscriptions do not auto-renew, You are never committed beyond the one-year period You have already paid for, and You may simply choose not to renew at the end of that period.

G. Matching and Communication

  • Sending Requests: You may send chat requests freely, subject to daily limits designed to prevent spam and mass outreach: 5 requests per day for standard members, and 20 requests per day for Verified Founders.
  • Availability of Chat: Chat becomes available only after (a) a mutual Match, and (b) both Users have completed the “5 Ground Rules” consent screen for that Match.
  • Nature of Chat: Chat is currently text-only and limited to 2,000 characters per message. The Platform does not currently accept, store, or transmit file attachments, images, videos, audio recordings, or any other media type through the chat interface.

H. Response-Rate Visibility and Account Freeze

  • Response-Rate Visibility: If You do not respond to a match request within 72 hours, Your displayed response-rate indicator decreases, which may lower Your profile’s visibility in future matches. This indicator affects visibility only; it is not a punitive measure and does not, by itself, result in any restriction of Your Account.
  • Ghost-Freeze Mechanism: Separately, if You are inactive for 7 consecutive days while You have an active Match, Your Account will be frozen. A freeze is not a deletion of Your Account or data, and You may unfreeze Your Account at any time simply by completing the re-verification step.

I. Acceptable Use

You agree that You will not, on or through the Platform:

  • create a fake, duplicate, or impersonating profile, or otherwise misrepresent Your identity, background, skills, or intentions;
  • use the Platform for spam, MLM-style pitches, recruiting on behalf of an existing company, or any solicitation unrelated to seeking a genuine co-founder;
  • post or send illegal, harassing, defamatory, or discriminatory content;
  • provide inaccurate or misleading profile or message information;
  • attempt phishing, or make solicitations unrelated to the purpose of the Platform; or
  • disregard another User’s consent, intellectual property, or confidentiality boundaries.

A material breach of this Clause may result in suspension or termination of Your Account, without refund of any subscription fee already paid, in accordance with Clause P.

J. Intellectual Property and Confidentiality

  • No Ownership Claim: FoundrForge does not claim, and will not acquire, any ownership interest in Your startup ideas, business information, or other User Content. You retain full ownership of all ideas and business information You share on or through the Platform.
  • The “5 Ground Rules” Screen: Before chat unlocks for any Match, both Users are shown a “5 Ground Rules” screen, refreshed for every new Match, which covers: (a) not sharing raw intellectual property (including source code, proprietary designs, secret formulas, or investor materials) before signing an independent non-disclosure agreement (“NDA”); (b) FoundrForge is not a party to any such NDA; (c) a reminder that merely discussing an idea does not, by itself, protect it under Indian IP law, and Users are advised to keep a dated record of specific expressions of their idea; (d) a warning against ever paying another User upfront for funding, investment access, registration, or escrow, as this is a common scam pattern, together with an encouragement to report and block any User who does so; (e) an acknowledgement that any NDA the Users choose to enter into is independent of the Platform (FoundrForge does not draft, provide, host, review, endorse, or process any such document); and (f) a reminder that FoundrForge does not broker deals: term sheets, equity splits, and any resulting disputes are matters between the Users, not the Platform.
  • Mandatory Acknowledgement Before Chat: Before the “I understand, Enter chat” action becomes available, both Users must confirm, by checking the relevant boxes: (a) their understanding of their rights to erasure, correction, and portability of their data; (b) their agreement to these Terms, including that FoundrForge is a networking platform only, that Users share ideas at their own risk, that the Company is released from user-to-user IP disputes, and that no partnership or agency is created by use of the Platform; and (c) that they have read and understood the 5 Ground Rules above, take sole responsibility for the intellectual property and information they share in chat, will not pay another User upfront for funding or investment access, will report anyone who asks them to do so, and have reviewed these Terms and the Privacy Policy. A User may instead choose to decline and exit without entering the chat.
  • Platform Content: The Platform itself, including its design, software, trademarks, and other content created by the Company, remains the exclusive property of the Company, and nothing in these Terms grants You any rights in it beyond a limited, personal, non-transferable licence to use it for its intended purpose.

K. Company’s Role

  • Connector Only: FoundrForge only provides a platform to help Users connect with potential co-founders.
  • No Involvement in Negotiations: FoundrForge does not participate in, mediate, or facilitate any negotiation between Users.
  • No Guarantee: FoundrForge does not guarantee that any Match, conversation, or meeting will result in a successful co-founder partnership.
  • Not a Party to User Agreements: FoundrForge is not a party to, and bears no responsibility for, any agreement, understanding, or arrangement that Users may enter into with each other.

L. Reporting, Blocking and Moderation

You may report or block another User at any time. Where a report is made, the reported User’s identity is not disclosed to the reporting User, and the reporting User’s identity is not disclosed to the reported User. We alone review report details for moderation purposes. We may, at Our discretion, take action ranging from a warning to suspension or termination of an Account in response to a report or a suspected violation of these Terms.

M. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY USER’S PROFILE INFORMATION IS ACCURATE, THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT USING THE PLATFORM WILL RESULT IN FINDING A CO-FOUNDER.

N. Limitation of Liability

To the fullest extent permitted by law, FoundrForge shall not be liable for:

  • Failure to Match: Your failure to find a co-founder through the Platform;
  • Business Losses: any business losses, or the failure of any startup venture, arising from a connection made through the Platform;
  • User Disputes: any dispute between Users, including disputes arising after a Match;
  • Misuse of Information: any misuse by one User of information shared with them by another User; or
  • Offline Conduct: any offline meeting, communication, or transaction between Users, whether or not it originated on the Platform.

Nothing in this Clause excludes any liability that cannot lawfully be excluded under Indian law.

O. Indemnification

You agree to defend, indemnify, and hold harmless FoundrForge, its directors, employees, and affiliates from any claim, loss, liability, or expense (including reasonable legal fees) arising from Your breach of these Terms, Your misuse of the Platform, or Your interactions with another User, whether online or offline.

P. Suspension and Termination

  • Grounds for Action: We may suspend or terminate Your Account, without prior notice and without refund, where We reasonably believe You have materially breached these Terms, including the Acceptable Use provisions in Clause I.
  • Voluntary Deactivation: You may deactivate Your own Account at any time by contacting Our support team.
  • Survival: Provisions that by their nature are intended to survive termination, including Clauses J, M, N, and O, will continue to apply after Your Account is suspended, terminated, or deactivated.

Q. Privacy and Data Protection

Our collection, use, and processing of Your personal data is governed by Our Privacy Policy, read together with the Digital Personal Data Protection Act, 2023, and is incorporated by reference into these Terms. By completing the consent screen described in Clause D, You consent to the processing of Your personal data strictly for matchmaking purposes as described in that policy.

R. Communication Agreement

By using the Platform, You consent to receiving transactional and service-related communications from Us by email or other contact details provided at registration, including communications regarding Your Account, subscription, and Matches.

S. Governing Law, Jurisdiction and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.
  • Escalation: In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform, the parties shall first attempt to resolve it through good-faith negotiation.
  • Mediation: If the dispute is not resolved through good-faith negotiation within 30 days, the parties shall refer it to mediation before a mutually appointed mediator.
  • Arbitration: If the dispute remains unresolved following mediation, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration shall be Bengaluru, Karnataka, and the language of arbitration shall be English.
  • Jurisdiction: Subject to the above, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any matter not required to be arbitrated, including applications for interim relief and the enforcement of an arbitral award.

T. Grievance Redressal

Any grievance regarding these Terms, the Platform, or a User’s conduct may be addressed, in writing, to Our Grievance Officer at harish.se@foundrforge.in. The name and designation of the Grievance Officer, as required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, shall be published on the Platform.

U. General Provisions

  • Relationship: These Terms do not create any partnership, agency, joint venture, or employment relationship between FoundrForge and any User, or between Users themselves, and no User has the authority to bind FoundrForge.
  • Amendments: We may update these Terms from time to time. The updated Terms will be posted on the Platform with a revised “Last Updated” date, and Your continued use of the Platform after such an update constitutes acceptance of the revised Terms.
  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or of any other right.
  • Assignment: You may not assign or transfer Your rights or obligations under these Terms. We may assign Our rights and obligations under these Terms to any affiliate or successor entity.
  • Force Majeure: We shall not be liable for any delay or failure in performance arising from causes beyond Our reasonable control, including natural disasters, government action, or failures of third-party infrastructure.
